What Is a Service Agreement?

A Service Agreement (also called a Contractor Agreement or Consulting Agreement) is a contract between a service provider (freelancer, consultant, or contractor) and a client that governs the provision of services. Unlike an employment contract, a service agreement is for independent contractors who are not employees.

In Zimbabwe, the distinction between employment and independent contracting is important because employees are protected by the Labour Act [Chapter 28:01], while contractors are governed by general contract law. Misclassification can lead to Labour Court claims and penalties.

Risk Alert: If a contractor relationship in practice looks like employment (set hours, employer's office, employer's tools, ongoing work), courts may reclassify it as employment. This means the "contractor" would be entitled to all Labour Act protections, backdated leave pay, and NSSA contributions.

Payment and Tax Considerations

When engaging a contractor in Zimbabwe:

  • Withholding tax: Clients may be required to withhold 10% tax on payments to resident contractors and remit to ZIMRA
  • Invoicing: The contractor should issue a proper tax invoice for each payment
  • VAT: If the contractor is VAT registered (turnover above $25,000/year), they must charge VAT
  • Currency: Payments can be in USD, ZiG, or other currencies — specify in the agreement

Intellectual Property Clauses

IP ownership is often the most contentious clause. In Zimbabwe, the default position is that the creator owns the copyright unless there is a written agreement assigning it. Your service agreement should clearly state:

  • Whether the client owns all work product upon payment
  • Whether the contractor retains any rights (e.g., to use in their portfolio)
  • Whether pre-existing IP (tools, frameworks) remains with the contractor
