Official Notice of Situation of Registered Office form

What Is the CR6 Form?

The CR6 form (Notice of Situation of Registered Office) is a mandatory document filed with the Registrar of Companies in Zimbabwe to officially declare the physical address of a company's registered office. Under the Companies and Other Business Entities Act [Chapter 24:31], every company must have a registered office to which all communications and notices may be addressed.

The registered office address becomes part of the public record and is the address where legal documents, court orders, and government correspondence will be served. It must be a physical street address within Zimbabwe — P.O. Box numbers are not accepted.

Filed Together: The CR6 is typically submitted alongside the CR14 form (Directors & Secretary), Memorandum of Association, and Articles of Association during company registration.

When Is the CR6 Required?

  • New company registration — Filed as part of the incorporation documents
  • Change of registered office — A new CR6 must be filed within 14 days of moving
  • Conversion of company type — May require a new CR6 if the office address changes

How to Fill In the CR6 Form

Step 1: Enter the Company Name

Write the full proposed company name exactly as it will appear on the certificate of incorporation. If you are filing a change of address for an existing company, use the registered company name and include the registration number.

Step 2: Registered Office Address

Provide the full physical street address. This must be a location where the company can receive mail and legal notices. Examples:

  • 14 Nelson Mandela Avenue, Harare
  • Stand 345, Chiremba Road, Hatfield, Harare
  • Suite 201, CABS Centre, 8th Avenue, Bulawayo
Note: If you are operating from home, you can use your residential address as the registered office. However, be aware that this address becomes public record and will be accessible through the companies register.

Step 3: Postal Address

The postal address can be different from the registered office address. A P.O. Box is acceptable here. This is the address the Registrar will use for general correspondence.

Step 4: Sign and Submit

The CR6 must be signed by a director or the company secretary. Submit it to the Registrar of Companies at Mukwati Building, Harare, or through the online portal.

Using a Virtual Office or Registered Agent

Many companies, especially those formed by diaspora Zimbabweans, use a registered agent or virtual office service to provide a registered office address. This is perfectly legal and common practice. RegisterCompany.co.zw offers registered office address services as part of their company registration packages.
